Welcome to StructuredSites.com. These Terms and Conditions (“Terms”) govern your use of our website, services, website build offers, hosting services, domain services, logo creation services, and related products provided by Structured Sites (“Structured Sites,” “Company,” “we,” “us,” or “our”).
By purchasing, approving, accessing, or continuing to use any services from Structured Sites, you agree to these Terms. If you do not agree, do not purchase or use our services.
Structured Sites provides website creation, website setup, hosting coordination, domain setup or management, basic logo creation when applicable, website content placement, and related digital services for local businesses.
The exact services included in your package may vary based on the offer, proposal, invoice, promotion, checkout page, or written agreement presented to you at the time of purchase.
Unless specifically stated in writing, our services do not include advanced custom development, custom software, advanced integrations, paid advertising management, search engine optimization guarantees, legal compliance review, trademark registration, professional photography, advanced copywriting, ongoing business consulting, or unlimited revisions.
Structured Sites charges an upfront website build fee to create and launch a client website. The build fee may vary depending on the offer, promotion, scope of work, payment structure, or custom agreement provided to the client.
From time to time, Structured Sites may offer discounted promotional pricing. Promotional pricing is typically based on a one-time payment.
For example, Structured Sites may offer a standard website build price of $2,500 and, during a limited promotion, offer a discounted one-time payment price of $1,000. This discounted promotional price applies only when the client pays the promotional amount in full as a one-time payment, unless otherwise stated in writing.
If a client chooses, requests, or is approved for a payment plan instead of paying the discounted amount in full upfront, the total website build fee may increase. Payment plans create additional administrative, billing, and financing costs, and the total price under a payment plan may be higher than the one-time promotional price.
For example, a one-time promotional website build price may be $1,000, while a payment plan option may total $1,200 or another amount stated in the client's offer, proposal, invoice, or checkout page.
The price shown in the proposal, checkout page, invoice, or written offer will control the amount owed. By accepting the offer, approving the invoice, or making a payment, the client acknowledges and agrees to the pricing structure presented at the time of purchase.
A monthly hosting fee is required to keep the website active, live, hosted, connected, and accessible online.
The standard hosting fee is $50 per month, unless a different amount is stated in writing. This monthly hosting fee is separate from the website build fee, unless the client's invoice, proposal, checkout page, or written offer specifically states otherwise.
The hosting fee may cover website hosting access, website platform access, basic technical maintenance, domain connection support, and keeping the website active through the systems used by Structured Sites.
If the monthly hosting fee is not paid when due, the website may be paused, suspended, disconnected, unpublished, or taken offline. Structured Sites is not responsible for business loss, missed leads, lost revenue, ranking changes, advertising disruptions, or other damages caused by non-payment, failed payment, expired payment method, or suspension of services.
If a website is suspended or disconnected due to non-payment and the client later wants the website reactivated, the client must pay all past-due amounts plus any applicable service restoration fees before the website is reconnected.
If a client is approved for a payment plan, the payment plan will be listed in the client's proposal, invoice, checkout page, or written agreement.
Payment plans may include a higher total website build fee than a one-time promotional payment. The client understands and agrees that installment pricing is not the same as one-time payment pricing.
Unless otherwise stated in writing, monthly hosting fees are still required during a payment plan. In some cases, the first month of hosting may be included or deferred as part of the initial setup offer, but hosting fees will apply monthly after that according to the client's agreement, invoice, or billing schedule.
Failure to make a scheduled payment may result in suspension of the website, loss of access to services, delayed launch, paused revisions, or cancellation of the project.
By submitting payment information, approving an invoice, signing up through a checkout page, or otherwise authorizing payment, the client authorizes Structured Sites or its payment processor to charge the client for all agreed fees, including website build fees, payment plan installments, hosting fees, domain-related fees, domain release or transfer fees, service restoration fees, late fees, and other approved service charges.
The client is responsible for keeping payment information current. Failed payments may result in service interruption.
Website build fees are payment for time, labor, strategy, setup, design work, platform configuration, content placement, and project resources. Once work has started, website build fees are non-refundable unless otherwise required by law or specifically agreed to in writing by Structured Sites.
Monthly hosting fees are non-refundable once charged.
Payment plan amounts already paid are non-refundable once work has started. If a client cancels before completing a payment plan, any unpaid balance may still be owed depending on the accepted proposal, invoice, checkout page, or written agreement.
The client is responsible for providing accurate business information, including business name, phone number, email address, services, location, hours, images, branding details, domain information if applicable, and any required approvals.
The client is responsible for reviewing website content, spelling, grammar, service descriptions, pricing, claims, legal disclaimers, industry-specific compliance requirements, and all information displayed on the website.
Structured Sites is not responsible for inaccurate, incomplete, outdated, misleading, or non-compliant information provided by the client or approved by the client.
If the client delays providing requested information, approvals, access, content, or feedback, project timelines may be extended.
Structured Sites may assist with organizing, formatting, editing, or creating basic website content based on the information available to us. The client is responsible for final review and approval of all website content before and after launch.
Once a client approves the website, requests launch, pays for launch, or allows the website to remain live, the website will be considered accepted.
Any changes requested after approval or launch may be handled as part of the included service scope or may require additional fees, depending on the request.
If a client does not have a logo, Structured Sites may create a basic logo or text-based brand mark as part of the initial website build, at no additional charge unless otherwise stated.
Logo creation included with the website build is intended to provide a practical business identity for use on the client's website. It does not include advanced brand strategy, multiple full brand concepts, trademark research, trademark registration, legal clearance, copyright registration, or a guarantee that the logo is unique in the marketplace.
The client is responsible for determining whether a logo, name, design, or brand element is legally available for use. Structured Sites does not provide legal advice or trademark clearance.
After the client has paid all required website build fees and any outstanding balances, the client may use the final approved logo for their business, subject to any third-party font, icon, image, or design asset limitations.
Many clients may not already own a domain name. In those cases, Structured Sites may register a domain name for use with the client's website.
If Structured Sites registers a domain name on behalf of the client and pays the initial registration cost or renewal fees, Structured Sites will remain the owner, registrant, and/or administrative controller of that domain unless and until the domain is purchased, released, or transferred by the client under these Terms.
While the client remains active, current on payments, and hosted with Structured Sites, the client will receive use of the domain for the client's business website.
The client understands that use of the domain during active service does not automatically mean the client owns the domain.
If a client wants to cancel services, move to another provider, take ownership of a domain registered by Structured Sites, point the domain elsewhere, or otherwise receive control of a domain controlled by Structured Sites, the client may request a domain release or transfer.
Unless otherwise stated in writing, the standard domain release or transfer fee is $100, plus any unpaid balances, overdue hosting fees, unpaid website build fees, payment plan balances, registrar fees, renewal fees, administrative costs, or other amounts owed at the time of the request.
Structured Sites may refuse to release, unlock, transfer, push, point, or provide administrative access to a domain until all outstanding balances are paid.
Domain release or transfer requests are also subject to registrar rules, registry policies, transfer locks, waiting periods, ICANN rules, domain expiration status, and other third-party requirements outside of our control.
If a domain is a premium domain, specialty domain, high-value domain, or domain purchased separately at a higher cost, a different release, transfer, or purchase price may apply.
If the client already owned the domain before working with Structured Sites, the client remains the domain owner, and this domain release or transfer fee does not apply unless Structured Sites separately purchased, registered, acquired, renewed, or managed a domain for the client.
Structured Sites builds websites using third-party website technology, hosting systems, design tools, templates, software, and/or website platforms. These systems may not allow full export, download, transfer, or migration of the website's underlying HTML, CSS, source code, theme files, templates, backend files, database, or platform-specific design structure.
The client understands and agrees that the website may not be transferable as a complete website file package to another platform, host, or provider.
If a client chooses to leave Structured Sites or move the website elsewhere, the client may need to manually recreate the website on a new platform. This may include rebuilding pages, layouts, sections, forms, images, design elements, text, metadata, and other website content.
Structured Sites is not responsible for rebuilding the website on a new platform unless the client separately hires Structured Sites for that service under a new agreement.
If the client decides to cancel services or move to another provider, the client is responsible for preserving and transferring any content they want to keep.
Before canceling services, the client should save or copy any desired website materials, including but not limited to:
Because the underlying website files may not be exportable, the client should not assume that another provider can simply download and move the existing website.
Structured Sites is not liable for lost content, lost media, downtime, design recreation costs, SEO changes, advertising disruptions, or other issues that occur when a client cancels, moves, rebuilds, or transfers services to another provider.
If a client owns their own domain, the client may point that domain to another provider by updating DNS records through their domain registrar.
If Structured Sites owns, registered, renewed, or controls the domain, the client must first complete the domain release or transfer process described in these Terms before gaining control of the domain, directing the domain to another provider, changing DNS records, or moving the domain away from Structured Sites.
DNS changes, domain release requests, domain transfers, website migration, and propagation times can cause downtime or temporary service interruptions. Structured Sites is not responsible for downtime, lost leads, email disruption, traffic loss, ranking changes, advertising disruption, or other issues caused by DNS changes, third-party providers, registrar delays, client decisions, or migration activity.
After all required payments are made in full, the client may use the final approved website content, business information, and basic brand assets created specifically for the client, subject to the limitations in these Terms.
Structured Sites retains ownership of its internal processes, systems, templates, workflows, layouts, design methods, platform configurations, software, strategies, source materials, training materials, and proprietary business methods.
The client does not receive ownership of the underlying website platform, software, source code, HTML/CSS files, backend systems, template structure, or third-party tools used to create or host the website.
Structured Sites may use third-party platforms, software, hosting providers, registrars, plugins, forms, analytics tools, email tools, payment processors, AI-assisted tools, automation tools, or other services to provide the website and related services.
Structured Sites is not responsible for outages, bugs, pricing changes, policy changes, feature limitations, export restrictions, downtime, errors, data loss, or service interruptions caused by third-party providers.
The client understands that third-party tools may change their features, pricing, terms, availability, or limitations at any time.
Structured Sites does not guarantee that a website will generate leads, calls, sales, traffic, rankings, revenue, or specific business results.
A website is one part of a business's overall marketing and sales process. Results may depend on many factors outside of our control, including the client's industry, location, pricing, reputation, reviews, competition, advertising, offer, follow-up process, Google Business Profile, and market demand.
The website build may include reasonable revisions as defined by the client's package, offer, or written agreement.
Excessive revisions, major design changes, additional pages, custom functionality, new branding requests, copywriting beyond the original scope, advanced integrations, or requests outside the original project scope may require additional fees.
Structured Sites reserves the right to determine whether a request is included in the original scope or requires an additional quote.
The monthly hosting fee keeps the website active and live. It does not automatically include unlimited edits, unlimited redesigns, unlimited new pages, advanced SEO, advertising management, reputation management, custom integrations, or ongoing marketing services unless specifically stated in writing.
Minor updates may be included at our discretion or as stated in the client's package. Larger updates may require an additional fee.
A client may request cancellation by contacting Structured Sites in writing at info@structuredsites.com.
Cancellation does not automatically refund prior payments. Cancellation does not remove the client's responsibility to pay outstanding balances, unpaid payment plan amounts, overdue hosting fees, domain release or transfer fees, service restoration fees, chargeback fees, or other amounts owed.
If the client cancels hosting, the website may be unpublished, disconnected, suspended, or deleted. The client is responsible for saving any desired content before cancellation.
Structured Sites may cancel or suspend services if the client fails to pay, violates these Terms, provides false information, abuses our team, requests unlawful content, misuses the website, initiates improper payment disputes, or engages in activity that creates legal, technical, financial, or reputational risk for Structured Sites.
If payment is late, fails, is disputed, reversed, or not received when due, Structured Sites may pause work, delay launch, suspend hosting, disconnect the website, unpublish the website, remove access, or stop providing services until the account is brought current.
If a website is suspended, disconnected, unpublished, or taken offline due to non-payment and the client later wants the website reactivated, the client must pay all past-due amounts before reactivation. This includes unpaid hosting fees, unpaid website build fees, payment plan balances, chargeback fees, administrative fees, and any other outstanding amounts.
In addition to all past-due amounts, Structured Sites may charge a service restoration fee of $100 for each missed or unpaid monthly hosting billing cycle during the suspension or disconnection period.
For example, if the client misses two monthly hosting billing cycles and wants the website reconnected, the client may be required to pay the past-due hosting balance plus a $200 service restoration fee before the website is reactivated.
The service restoration fee covers administrative time, account review, billing recovery, website reconnection, domain/DNS review, platform reactivation, and related technical work required to bring the website back online.
Structured Sites is not required to reconnect or reactivate a website until all required amounts are paid in full.
Structured Sites does not guarantee that a suspended website, disconnected website, expired domain, removed platform account, deleted website, or canceled service can always be restored. If a website cannot be restored due to prolonged non-payment, third-party platform limitations, domain expiration, deletion, or account cancellation, rebuilding the website may require a new website build fee.
Structured Sites is not liable for any losses caused by suspension, disconnection, failed payment, non-payment, chargeback, disputed payment, expired payment method, domain expiration, downtime, or delayed reactivation.
If a client disputes a valid charge, initiates a chargeback, or reverses payment after services have been provided, Structured Sites may suspend services immediately.
The client agrees to contact Structured Sites first to resolve any billing issue before initiating a chargeback or payment dispute.
The client may be responsible for chargeback fees, collection costs, administrative fees, legal fees, and other costs incurred as a result of an improper payment dispute.
The client represents that any content, images, logos, trademarks, business names, testimonials, claims, videos, or other materials provided to Structured Sites are owned by the client or properly licensed for use.
The client is responsible for ensuring that their website complies with all laws, regulations, industry rules, advertising rules, privacy requirements, accessibility requirements, professional licensing rules, and consumer protection requirements that apply to their business.
Structured Sites does not provide legal advice and does not guarantee that the client's website satisfies legal, regulatory, accessibility, privacy, industry, or advertising requirements.
The client may not use Structured Sites services for unlawful, deceptive, abusive, infringing, harmful, fraudulent, or misleading purposes.
Structured Sites may refuse, suspend, or terminate services for websites or businesses involving illegal activity, scams, deceptive claims, hate content, adult content, regulated products, intellectual property infringement, impersonation, malware, spam, or any content we determine creates unacceptable risk.
To the maximum extent allowed by law, Structured Sites will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost leads, lost business, loss of goodwill, loss of data, website downtime, ranking loss, advertising disruption, or business interruption.
Structured Sites' total liability for any claim related to the services will not exceed the amount the client paid to Structured Sites during the three months before the event giving rise to the claim.
The client agrees to indemnify and hold harmless Structured Sites, its owners, employees, contractors, vendors, partners, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from:
Structured Sites provides website and related digital services. We do not provide legal, financial, tax, medical, compliance, trademark, accessibility, or professional licensing advice.
The client should consult qualified professionals for advice specific to their business, industry, location, and legal obligations.
Structured Sites may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date.
Continued use of our services after updated Terms are posted means the client accepts the updated Terms.
These Terms will be governed by the laws of the State of Nevada, without regard to conflict of law principles.
Any disputes will be handled in the courts located in Clark County, Nevada, unless otherwise required by law.
